Corporate Registration & Compliance

Company Incorporation, Annual ROC Filings, and Local License Compliance

Overview

Structuring your business as a legal corporate entity provides credibility, limited liability protection, and fundraising readiness. In India, incorporating a Private Limited Company or a Limited Liability Partnership (LLP) requires compliance with the Ministry of Corporate Affairs (MCA) and subsequent tax registrations.

At Dhalkari & Bhawalkar, we manage the entire company formation cycle. We assist promoters with name reservations, DIN and DSC allotment, incorporation certification, and post-incorporation registrations such as Professional Tax and Shop Act licenses, followed by annual ROC filings to ensure regulatory compliance.

Corporate Services Scope
  • Company Registration: Private Limited, One Person Company (OPC), or Section 8 Company incorporation.
  • LLP Incorporation: Drafting partnership agreements and registering Limited Liability Partnerships.
  • ROC Compliance: Filing annual accounts (AOC-4) and annual returns (MGT-7) with the Registrar of Companies.
  • Professional Tax (PT): PT registration for employers and monthly/annual return filings in Maharashtra.

Benefits

  • Limited Liability: The personal assets of directors and partners remain protected from business debts and liabilities.
  • Fundraising & Valuation: Private Limited companies can easily issue equity shares to venture capitalists, angel investors, or incubators.
  • Corporate Status: E-commerce giants, export clients, and public tenders require businesses to hold a legal corporate structure.
  • Ongoing Compliance: Systematically managed ROC filings prevent active companies from being struck off or disqualified by the MCA.

Process of Company Incorporation

  1. Digital Signature (DSC) & Director Identification Number (DIN): We secure DSCs for directors and apply for DINs from the MCA.
  2. Name Reservation (RUN): We submit name availability applications based on your choice and business activities.
  3. Incorporation Filing (SPICe+): We prepare and submit MoA, AoA, and incorporation forms online. The MCA reviews the application and issues the Certificate of Incorporation (COI), PAN, and TAN.
  4. Post-Incorporation Setup: We assist in drafting the bank resolution, opening corporate bank accounts, and completing PT and GST registrations.

Frequently Asked Questions

A Private Limited Company is a separate legal entity owned by shareholders and managed by directors, making it the preferred structure for venture funding and equity division. An LLP (Limited Liability Partnership) blends partnership flexibility with corporate limited liability, which is ideal for professional service firms and family-run businesses that do not require external equity funding. Private Limited companies face stricter MCA compliances than LLPs.

Professional Tax is a state-level tax levied on salaried individuals and professionals. In Maharashtra, employers must secure a Professional Tax Enrollment Certificate (PTEC) for the business entity and a Professional Tax Registration Certificate (PTRC) to deduct and remit PT from employees earning more than ₹7,500/month (which is a flat ₹200/month, except in February when it is ₹300).

Immediately after incorporation, the company must: (1) Appoint its first auditor within 30 days. (2) Open a corporate bank account. (3) File a declaration of commencement of business (Form INC-20A) within 180 days, after depositing the share capital. (4) Maintain statutory registers, draft minutes of board meetings, and register for GST/PT if thresholds are crossed.
